Job Description

Responsible for the legal matters in the Corporate & BD global functions.

  • Provide legal support for multi-national business development deals including late-stage product deals (e.g. distributorships, co-promotion, co-marketing and asset acquisitions) and early- stage product/technology deals (e.g. IP licences, R&D collaborations)
  • Support local, national business development deals when necessary
  • Provide advisory support on alliance management issues arising from existing multi-national business development partnerships (including dispute resolution)
  • Support Global Communications
  • Support Global Finance
  • Understand the activities of the functions supported to assist and advise the functions from a legal point of view to facilitate effective operations and manage risk
  • Support the functions’ legal matters
  • Assess existing and proposed commercial relationships to ensure their implications are fully understood
  • Contracts:
    • advise on, draft, negotiate and finalize wide range of definitive agreements in conjunction with various departments to ensure relationships align with international templates and processes and are properly defined and recorded
    • support process of preparation and approval of contracts
    • with Legal Operations, developing, implementing and maintaining appropriate standard form contracts and templates and standard operating procedures
    • monitoring key contractual relationships for proper performance by both parties
    • coordinate, draft and finalize intercompany agreements and corporate documents
    • contractual due diligence activities
  • Advice
    • advising on all legal aspects relevant to the functions’ businesses including commercial / pharma law; IP law; competition law; employment law (with HR)
  • Litigation
    • managing litigation cases related to the function’s activities
    • prevention from SOPs, policies (employment, health & safety, fair competition), customer complaints, product labelling review(s)
    • implementing and maintaining processes for retention and destruction of documents
  • Data protection
    • with Data Privacy Officer, implement and maintain documents, policies, processes (including training) to ensure efficient and compliant handling of data
  • External legal counsel management and liaison (including robust handling of costs, and management of local external legal budget)
  • Advise on legal risks and opportunities for the business
  • Draft and amend legal policies and procedures and provide training to employees
  • Maintain knowledge of current relevant law and undertake ad hoc legal research as required
  • Provide training of relevant law to staff
  • Collaborate with global organisation including Global Legal and provide support as required
  • Support the Compliance Programme, as required
  • Undertake ad hoc legal matters as required
     

Qualifications

  • Degree-qualified
  • Qualified as a lawyer (minimum of 3+ years PQE)
  • Prior experience of the pharma industry
  • Pragmatic and solutions-focussed
  • Confident and credible with a high level of integrity
  • A track-record demonstrating commitment and achievement
  • Ability to communicate clearly and concisely with various stakeholders, with strong influencing skills and sufficient gravitas to work with senior management effectively
  • A collaborative working style with willingness to challenge the status quo and ability to navigate between commercial and legal needs
  • A self-starter, with the drive to achieve goals, streamline process, continuously aim for operational efficiency and a willingness to be fully accountable
  • Analytical and organisational skills
  • Good knowledge of IT applications (like MS Office, Word, Excel, PowerPoint etc.)
  • Project management skills
  • Expertise in drafting legal documents, including licencing agreements, distribution agreements, CDAs, service agreements and corporate documents
