Legal Advisor / Commercial Contracts Officer

An opportunity has arisen to join our Legal Affairs Team whose activities include: commercial contracts (delivering over £20m of one-to-one research and consultancy work), governance, property management, intellectual property (patents and licensing) and legal support to the Security, Quality and HR teams.  The Legal Advisor / Commercial Contracts Manager role is to oversee, manage and deliver commercial contracts across the organisation.

The main duties and responsibilities for this position are:

•Lead the review and negotiation of legal agreements between TWI and our clients (Members) negotiating terms to TWI’s benefit; 

•Ensure that all legal documents are signed in appropriate time frames, communicating directly with our clients legal and procurement teams; 

•Assist project change requests and agree contract amendments; 

•Advise on work quotation commercial terms including milestone delivery and payment schedule;

•Review calls for tender and bids to highlight potential commercial/contractual risks and opportunities; providing advice from a legal and commercial perspective;

•Support to our project leads through the provision of suitable legal and commercial advise;

•Perform financial management of commercial contracts (invoicing, auditing support); 

•Observe compliance to legal, regulatory and internal compliance requirements; 

•Progress export control compliance review and submissions; and

•Draft and negotiate ad-hoc agreements including MoUs, supplier/sub-contracting agreement, material transfer agreement, equipment loan agreements, etc. 


•Demonstrate ability to communicate, present and influence credibly and effectively at all levels of the organization;

•Proven ability to negotiate large and/or complex agreements, excellent proof reading skills and high levels of accuracy in drafting documents;   

•Capable of working to strict deadlines; 

•Ability to be self-motivated, forward plan and prioritise work;

•Be a team player;

•Be confident and diplomatic, with an ability to create and foster working relationships internally and with customers at all levels of the business;

•Have an ability to act with a substantial degree of independence within delegated limits;

•Demonstrate good financial and commercial judgement, numerical confidence and understanding of budgets and project finance;

•Able to manage risk; and

•Have experience of using Microsoft Office 

Qualifications & Experience:


•A successful track record of at least three years of working in commercial contracting, ideally in a consultancy services environment, with experience of initiating, negotiating and executing legal agreements

•An applicable degree level or higher qualification (minimum 2:1) is required 


•Legal qualification 

•Security Cleared (Baseline Personnel Security Standard or above)

•Experience of using Dynamics and CRM (Client Relationship Management) software
